3. User Responsibilities & Conduct
a. Eligibility: You must be at least 18 years of age and capable of forming a binding contract to use the System.
b. Accurate Information: You agree to provide accurate, current, and complete information when registering for or using any part of the System and to update such information to keep it accurate, current, and complete.
c. Lawful Use: You agree to use the System only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the System by, any third party.
d. Prohibited Conduct: You agree not to:

e. Security: You are responsible for maintaining the confidentiality of your account login information and are fully responsible for all activities that occur under your account. You agree to immediately notify Malkant Group of any unauthorized use of your account or any other breach of security.
4. Intellectual Property Rights
a. Malkant Group Property: All content, materials, tools, programs, methodologies, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, "Content"), including but not limited to the design, structure, selection, coordination, expression, "look and feel," and arrangement of such Content, contained within the System is owned, controlled, or licensed by or to Malkant Group, and is protected by trade dress, copyright, patent, and trademark laws, and various other intellectual property rights and unfair competition laws.
b. Limited License: Malkant Group grants you a limited, non-exclusive, non-transferable, revocable license to access and use the System and its Content solely for your personal and internal business use as permitted by these Terms.
c. No Redistribution: You may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, or distribute in any way (including "mirroring") any part of the System or Content to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without Malkant Group’s express prior written consent.
d. User Content: By posting, uploading, or submitting any content, ideas, or materials ("User Content") to the System, you grant Malkant Group a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such User Content in any media. You represent and warrant that you own or otherwise control all of the rights to the User Content that you post and that the User Content is accurate and does not violate these Terms or infringe any third party's rights.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MALKANT GROUP, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SYSTEM OR ANY INFORMATION PROVIDED THEREIN, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE), EVEN IF MALKANT GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MALKANT GROUP'S TOTAL CUMULATIVE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO MALKANT GROUP FOR ACCESS TO AND USE OF THE SYSTEM IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless Malkant Group, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your violation of these Terms or your use of the System, including, but not limited to, any User Content you submit, post, or transmit through the System.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or your use of the System shall be subject to the exclusive jurisdiction of the state and federal courts located in Oakland County, Michigan.
